Infoblox Inc. (NYSE: BLOX) today announced that it has filed a registration statement on Form S-1 with the Securities and Exchange Commission for a proposed secondary offering of shares of its common stock. All of the shares to be sold in the offering will be sold by existing stockholders of the company. Infoblox will not receive any proceeds from the sale of the shares.
The principal purposes of the offering are to facilitate an orderly distribution of the company’s outstanding shares and to increase the company’s public float.
Morgan Stanley & Co. LLC and Goldman, Sachs & Co. will act as lead joint book-running managers for the offering, and UBS Securities LLC will act as a joint book-running manager for the offering. Pacific Crest Securities LLC, JMP Securities LLC and Stephens Inc. will serve as co-managers for the offering.
A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold, nor may offers to buy be accepted, prior to the time that the registration statement becomes effective.
