TORONTO, ONTARIO -- (Marketwired) -- 09/13/13 -- SustainCo Inc. (the "Corporation" or "SustainCo") (TSX VENTURE:SMS) announced today that Alter NRG Corp. ("Alter") has filed a notice of intention to distribute securities (Form 45-102F1) in connection with the proposed sale, by private agreement, of 10 million common shares of the Corporation (representing 34% of the issued and outstanding common shares), of which 6 million common shares are subject to an Escrow Agreement (Form 5D) (the "Escrowed Shares"). The transfer of the Escrowed Shares is subject to the approval of the TSX Venture Exchange.
As at September 13, 2013 there were 29,440,217 issued and outstanding common shares in the capital of the Corporation. The Corporation has outstanding options to purchase an aggregate of 2,570,440 common shares, outstanding warrants to purchase an aggregate of 7,322,492 common shares, and outstanding agent options to purchase an aggregate of 1,363,118 common shares (assuming warrants obtained from exercising of the agent options are also exercised).
