About the Lawsuit
ValueClick and certain of its executives are charged with issuing a series of materially false and misleading statements about the Company's business and prospects during the Class Period, violating federal securities laws.
These false statements and omissions included, in part, that: (i) ValueClick was not effectively integrating certain of its acquisitions; (ii) ValueClick had failed to adequately record impairment of a note receivable; and (iii) persistent operational weakness in ValueClick's European operations and sales were weighing down revenue growth.
On August 1, 2013, ValueClick announced its second quarter 2013 financial results, which were well below Wall Street's expectations. On this news, the price of ValueClick's common stock fell by almost 15% on August 2, 2013.
