HILDEN, Germany, March 12, 2014 /PRNewswire/ --
QIAGEN N.V. (NASDAQ: QGEN; Frankfurt Prime Standard: QIA) announced today the successful completion of the following series of transactions:
- The repurchase from non-U.S. holders of approximately $291 million(1) notional amount of its outstanding convertible notes due 2026 (the "2026 Notes");
- In order to finance the repurchase, and also raise $300 million of net proceeds, the issue of new senior unsecured cash settled convertible notes (the "Notes") outside the United States for $730 million aggregate principal amount; and
- The entry into derivative transactions to increase the effective conversion price of the newly issued Notes (the "Convertible Note Hedge and Warrant Transactions" as described below).
Repurchase of 2026 Notes
The invitation to the repurchase has now expired. At the close of the repurchase, QIAGEN received indications of selling interest from holders of the 2026 Notes representing approximately 97% of the aggregate principal amount of 2026 Notes initially issued, repurchase from whom would entail an aggregate cash consideration of approximately $366 million (1).
The settlement of the repurchase is expected to take place on the same day as the successful placement of the concurrent Notes Offering.
The Notes Offering
QIAGEN completed the issuance of $430 million aggregate principal amount of convertible notes due 2019 (the "2019 Notes") and $300 million aggregate principal amount of convertible notes due 2021 (the "2021 Notes"). The 2019 Notes will bear interest at an annual rate of 0.375%, and the 2021 Notes will bear interest at an annual rate of 0.875%, payable semi-annually in arrears. The initial conversion price of the 2019 Notes has been set at $28.34 and the initial conversion price of the 2021 Notes has been set at $28.34 per share of common stock. In the event of an exercise of their conversion right, Noteholders will receive a cash amount equivalent to the value of the QIAGEN's common shares underlying the Notes. No shares will be issued by QIAGEN upon conversion of the Notes. The expected settlement date of the Notes is March 19, 2014, and application will be made for the Notes to be admitted to trading on the Open market (Freiverkehr) segment of the Frankfurt Stock Exchange.
Convertible Note Hedge and Warrant Transaction
In connection with Notes Offering, QIAGEN entered into privately negotiated convertible Note hedge and warrant transactions, each initially covering the same number of QIAGEN's common shares as underlie the Notes. The convertible Note hedge transaction will be cash settled upon exercise and is expected to offset any cash payments QIAGEN is required to make in excess of the principal amount of Notes upon conversion. The warrant transaction could separately have a dilutive effect with respect to QIAGEN's common shares to the extent that the market price per share of QIAGEN's common shares upon expiration of the warrants exceeds the strike price of the warrants that will initially be approximately $32.09.
The targeted $300 million of net proceeds from these transactions, which are designed to strengthen QIAGEN's balance sheet, secure long-term financing at low interest rates and neutralize potential dilution associated with the 2026 Notes, are planned to be used for general corporate purposes. The transactions also have as their purpose an anticipated accretive impact on adjusted EPS in the current and following years.

The term culture has had a polarizing effect among DevOps supporters. Some propose that culture change is critical for success with DevOps, but are remiss to define culture. Some talk about a DevOps culture but then reference activities that could lead to culture change and there are those that talk about culture change as a set of behaviors that need to be adopted by those in IT. There is no question that businesses successful in adopting a DevOps mindset have seen departmental culture change, ...

The security devil is always in the details of the attack: the ones you've endured, the ones you prepare yourself to fend off, and the ones that, you fear, will catch you completely unaware and defenseless. The Internet of Things (IoT) is nothing if not an endless proliferation of details. It's the vision of a world in which continuous Internet connectivity and addressability is embedded into a growing range of human artifacts, into the natural world, and even into our smartphones, appliances, a...

Fundamentally, SDN is still mostly about network plumbing. While plumbing may be useful to tinker with, what you can do with your plumbing is far more intriguing. A rigid interpretation of SDN confines it to Layers 2 and 3, and that's reasonable. But SDN opens opportunities for novel constructions in Layers 4 to 7 that solve real operational problems in data centers. "Data center," in fact, might become anachronistic - data is everywhere, constantly on the move, seemingly always overflowing. Net...

How do APIs and IoT relate? The answer is not as simple as merely adding an API on top of a dumb device, but rather about understanding the architectural patterns for implementing an IoT fabric. There are typically two or three trends: Exposing the device to a management framework Exposing that management framework to a business centric logic Exposing that business layer and data to end users. This last trend is the IoT stack, which involves a new shift in the separation of what stuff happe...

The right DevOps approach controls velocity with a tight feedback loop that not only consists of operational data but also incorporates business context.
