Intrinsyc Announces Share Consolidation, Name and Trading Symbol Change

VANCOUVER, BRITISH COLUMBIA -- (Marketwired) -- 06/17/14 -- Intrinsyc Software International, Inc. (TSX:ICS) ("Intrinsyc" or the "Company") announced today that the Company had filed articles of amendment to give effect to the consolidation of its common shares (the "Common Shares") on an eight (8) old Common Shares for one (1) new Common Share basis (the "Consolidation") effective June 17, 2014. The Company has also effected a change in its name to Intrinsyc Technologies Corporation to better reflect the recent transformation of its business (the "Name Change"). The Company's Common Shares post-Consolidation will trade on the TSX Exchange under a new trading symbol: ITC.

"The changes announced today signify a renaissance for the Company as we embark on a new strategic direction, with an expanding set of technology solutions for the embedded systems and Internet of Things markets," said Tracy Rees, President and CEO, Intrinsyc.

At the Annual Special Meeting held on May 14th, 2014, the Shareholders of the Company authorized the Board to effect a share consolidation of the Common Shares based on a range between a one (1) for five (5) basis to a one (1) for ten (10) basis, as well as to change the Company's name. All materials necessary to effect the Consolidation and the Name Change are expected be filed with the Toronto Stock Exchange (the "TSX") today and, subject to TSX approval, it is expected that the Common Shares will commence trading on the TSX under the new name and "ITC" trading symbol, as well as on a Consolidated basis on or about June 20, 2014. The Company expects that the Consolidation will reduce the number of its Common Shares from approximately 164,444,064 to approximately 20,555,508.

The Company also mailed letters of transmittal to its registered shareholders describing the process by which such shareholders can exchange their existing share certificates. Registered shareholders may also obtain copies of the letter of transmittal by contacting Equity Financial Trust Company. If as a result of the Consolidation a shareholder becomes entitled to a fractional Common Share, such fractions will be rounded down to the nearest whole Common Share and will be cancelled without consideration.

Shareholders who hold their Common Shares through their broker or other intermediary and do not have actual share certificates will not be required to complete and return a letter of transmittal. Any pre-Consolidation Common Shares owned by such shareholders will automatically be adjusted as a result of the Consolidation and the Name Change and no further action is required to be taken by such shareholders.

DevOps is about increasing efficiency, but nothing is more inefficient than building the same application twice. However, this is a routine occurrence with enterprise applications that need both a rich desktop web interface and strong mobile support. With recent technological advances from Isomorphic Software and others, it is now feasible to create a rich desktop and tuned mobile experience with a single codebase, without compromising performance or usability.
Thanks to Docker, it becomes very easy to leverage containers to build, ship, and run any Linux application on any kind of infrastructure. Docker is particularly helpful for microservice architectures because their successful implementation relies on a fast, efficient deployment mechanism – which is precisely one of the features of Docker. Microservice architectures are therefore becoming more popular, and are increasingly seen as an interesting option even for smaller projects, instead of bein...

Application metrics, logs, and business KPIs are a goldmine. It’s easy to get started with the ELK stack (Elasticsearch, Logstash and Kibana) – you can see lots of people coming up with impressive dashboards, in less than a day, with no previous experience. Going from proof-of-concept to production tends to be a bit more difficult, unfortunately, and it tends to gobble up our attention, time, and money. The speed of software changes in growing and large scale rapid-paced DevOps environments presents a challenge for continuous testing. Many organizations struggle to get this right. Practices that work for small scale continuous testing may not be sufficient as the requirements grow. In his session at DevOps Summit, Marc Hornbeek, Sr. Solutions Architect of DevOps continuous test solutions at Spirent Communications, will explain the best practices of continuous testing at high scale, which is r...
Software is eating the world. Companies that were not previously in the technology space now find themselves competing with Google and Amazon on speed of innovation. As the innovation cycle accelerates, companies must embrace rapid and constant change to both applications and their infrastructure, and find a way to deliver speed and agility of development without sacrificing reliability or efficiency of operations. The explosion of connected devices / sensors is creating an ever-expanding set of new and valuable data. In parallel the emerging capability of Big Data technologies to store, access, analyze, and react to this data is producing changes in business models under the umbrella of the Internet of Things (IoT). In particular within the Insurance industry, IoT appears positioned to enable deep changes by altering relationships between insurers, distributors, and the insured. In his session at @Things...

The IoT market is projected to be $1.9 trillion tidal wave that’s bigger than the combined market for smartphones, tablets and PCs. While IoT is widely discussed, what not being talked about are the monetization opportunities that are created from ubiquitous connectivity and the ensuing avalanche of data. While we cannot foresee every service that the IoT will enable, we should future-proof operations by preparing to monetize them with extremely agile systems.
There’s Big Data, then there’s really Big Data from the Internet of Things. IoT is evolving to include many data possibilities like new types of event, log and network data. The volumes are enormous, generating tens of billions of logs per day, which raise data challenges.
