TORONTO, ONTARIO and NEW YORK CITY, NEW YORK -- (Marketwired) -- 07/07/14 -- The Laurel Hill Advisory Group would like to congratulate our client, Osisko Mining Corporation, for achieving overwhelming shareholder support at the shareholder meeting held on May 30, 2014 to which Yamana Gold and Agnico Eagle will jointly acquire 100% of Osisko's issued and outstanding common shares for total consideration of C$3.9 billion or C$8.15 per share. The total offer consists of approximately C$1.0 billion in cash, C$2.3 billion in Yamana and Agnico Eagle shares, and creation of a new company ("New Osisko") with an implied value of approximately C$575 million.
Laurel Hill Advisory Group was retained by Osisko to manage the Proxy Solicitation for the shareholder meeting, as well as, act as the Information Agent in respect to the unsolicited offer from Goldcorp. In addition to these services, we are also pleased to have been selected as the Depositary for the transaction.
